Terms of Service

1. Agreement to Terms

By accessing or using the FedOverwatch platform and services (collectively, the "Service"), operated by Gopher Tech LLC dba FedOverwatch, a Wyoming limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

FedOverwatch is an AI-powered platform that aggregates, indexes, and matches federal government contracting opportunities sourced from SAM.gov (System for Award Management) and other publicly available government procurement databases. The Service includes:

• AI-driven matching of opportunities to your company profile based on NAICS codes, keywords, and set-aside eligibility
• Daily email digest notifications with personalized opportunity matches
• Opportunity search, filtering, and tracking functionality
• Deadline reminders and amendment alerts for followed opportunities
• AI-generated summaries and analysis of solicitation documents
• Educational content including blog articles, guides, and help resources

3. Eligibility

The Service is intended for use by businesses and individuals who are at least 18 years of age and legally capable of entering into binding agreements. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security of your account credentials and not share them with third parties
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that we reasonably believe have been compromised.

5. Subscription Plans and Payment

The Service offers both free and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing: You will be charged the applicable subscription fee at the beginning of each billing cycle (monthly or annual). All fees are quoted in U.S. dollars.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused portions of a billing period.
• Refund policy: We do not offer refunds. We provide a free trial so you can try the Service before subscribing. All fees are non-refundable.
• Price changes: We may change subscription pricing with at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable federal, state, or local law
• Attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any systems or networks connected to the Service
• Use automated tools, bots, scrapers, or similar technology to access the Service beyond normal usage patterns, except through our official API (if applicable)
• Interfere with, disrupt, or create an undue burden on the Service or its infrastructure
• Resell, redistribute, sublicense, or commercially exploit the Service or any data obtained through the Service without our prior written consent
• Attempt to reverse-engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit any malware, viruses, or harmful code
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity

7. Data Accuracy and Disclaimer

The opportunity data displayed on FedOverwatch is sourced from SAM.gov and other publicly available government databases. While we strive to provide accurate, timely, and complete information:

• We do not guarantee the accuracy, completeness, or timeliness of any opportunity data
• Data may contain errors, omissions, or outdated information that originate from the source systems
• AI-generated summaries and match scores are provided for informational purposes only and should not be the sole basis for business decisions
• You should always verify opportunity details, deadlines, and requirements directly on SAM.gov or with the relevant contracting office before submitting proposals

FedOverwatch is not affiliated with, endorsed by, or sponsored by the U.S. General Services Administration, SAM.gov, or any federal government agency. "SAM.gov" is a trademark of the U.S. General Services Administration.

8. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by Gopher Tech LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. The FedOverwatch name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Gopher Tech LLC.

Government contracting opportunity data sourced from SAM.gov is in the public domain and is not claimed as our intellectual property. Our proprietary AI analysis, match scoring, summaries, and presentation of such data are protected under these Terms.

9. User Content

You retain ownership of any content you submit to the Service, including your company profile information, keywords, and NAICS codes. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely for the purpose of providing and improving the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

11. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or applications that are not owned or controlled by Gopher Tech LLC. We are not responsible for the content, privacy policies, or practices of any third-party services. You acknowledge and agree that we shall not be liable for any damage or loss arising from your use of any third-party services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOPHER TECH LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION: LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Service
• Any conduct or content of any third party on the Service
• Unauthorized access to or alteration of your transmissions or data
• Errors, inaccuracies, or omissions in opportunity data or AI-generated content
• Any decision you make based on information provided through the Service, including missed contract deadlines or unsuccessful proposals

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Indemnification

You agree to indemnify, defend, and hold harmless Gopher Tech LLC and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Service.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time through your account settings or by contacting us. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

17. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Service or by sending an email to the address associated with your account at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

19. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Gopher Tech LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
